Terms of Service

These Terms apply to all visitors and users of the Site. By using the Site you represent that you are able to form a binding contract and that you will comply with these Terms and all applicable laws. If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.

• “Content” means all text, graphics, images, logos, designs, data, layouts, and other materials made available on or through the Site.
• “Marks” means the trademarks, service marks, trade names, and logos of K3 and its platforms.
• “Submission” means any information, message, or material you send to us through the Site, including through the contact form.

The Site is intended for a business and professional audience and is not directed to children. We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also revise these Terms from time to time; the “Last updated” date above indicates when they were last changed. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

Subject to these Terms, K3 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own informational and internal business purposes. This license does not include any right to resell or make commercial use of the Site or its Content; to copy, reproduce, distribute, publicly display, or create derivative works from the Content except as expressly permitted; to use any data mining, robots, scraping, or similar data-gathering tools; or to frame or mirror any part of the Site without our prior written consent.

You agree not to:

• use the Site in any way that violates any applicable law or regulation;
• attempt to gain unauthorized access to, interfere with, damage, or disrupt the Site, its servers, or connected networks, including by introducing malware or launching denial-of-service attacks;
• probe, scan, or test the vulnerability of the Site or breach any security or authentication measures;
• submit content that is unlawful, infringing, defamatory, or that you are not entitled to share, or that contains confidential information or protected health information; or
• use the Site to transmit unsolicited or unauthorized advertising or solicitations.

The Site and all Content are owned by K3 or its licensors and are protected by copyright, trademark, and other intellectual-property laws. All rights not expressly granted are reserved.

“K3 Innovations” and the names of K3’s platforms — including SPARC, Rainmaker, VoXorian, Command Center, acaDMY, SyliFlow, and Throttle Rides — together with associated logos, are Marks of K3 or its affiliates. Nothing in these Terms grants you any right or license to use any Marks without our prior written permission. Other names and marks are the property of their respective owners.

The Site may contain links to, or embed content from, third-party websites and services that we do not own or control, including K3’s product sites and the CEIPAL careers portal. We provide these for convenience and are not responsible for the content, policies, or practices of any third party. Your use of third-party sites and services is subject to their own terms and privacy policies, and we encourage you to review them.

We welcome your questions and comments, but please do not send us any confidential or proprietary information through the Site. Any Submission you make is provided on a non-confidential basis. If you send us ideas, suggestions, or other feedback about the Site or our services, you grant K3 a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and otherwise exploit that feedback for any purpose, without obligation or compensation to you.

Job listings and applications are handled through our applicant-tracking provider (CEIPAL). Information you submit as part of an application is processed as described in our Privacy Policy and is subject to the applicable provider’s terms. Job postings are informational and do not constitute an offer of employment.

The Content is provided for general informational purposes only. It does not constitute a proposal, offer, warranty, or professional advice — medical, clinical, scientific, regulatory, legal, financial, or otherwise — and you should not rely on it as such. Statements about K3’s services, platforms, and outcomes are general descriptions; actual scope, capabilities, timelines, and results depend on the specifics of each engagement. Use of the Site does not create any service, advisory, or contractual relationship. Any engagement between you and K3 is governed exclusively by a separate, signed written agreement.

TO THE FULLEST EXTENT PERMITTED BY LAW, K3 DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL K3 OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF K3 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless K3 and its officers, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Site, your Submissions, or your violation of these Terms or any applicable law or third-party right.

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in New Jersey will have exclusive jurisdiction over any such dispute, and you consent to personal jurisdiction and venue in those courts. Before initiating any formal proceeding, you agree to first contact us to seek an informal resolution.

• Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and K3 regarding the Site and supersede any prior agreements on that subject.
• Severability. If any provision is held unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent necessary.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent; we may assign them freely.
• No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
• Force majeure. K3 is not liable for any failure or delay caused by events beyond its reasonable control.
• Headings. Section headings are for convenience only and have no legal effect.
